Nuvini Group Limited (Nasdaq: NVNI), a leading acquirer and operator of profitable B2B software companies across Latin America and emerging markets, has re-appointed Marco Aurélio Leone Fernandes to its Board of Directors as an independent director, effective 27 July 2026. The move restores the company's compliance with Nasdaq's audit committee requirements at a pivotal moment in its acquisition-led growth strategy.
A Familiar Face Returns to the Board
Mr. Leone previously served as a director of the company and, more recently, as a Board Advisor, giving him substantial familiarity with Nuvini, its subsidiaries and its business model. He brings more than 25 years of experience in the information technology industry across Brazil and Latin America.
Among the highlights of his career, Leone led the launch of Micro Focus International PLC in the region and ran the entire operation as Vice President and General Manager from May 2009 until October 2023, when Micro Focus was acquired by OpenText. During that period he oversaw a series of complex local integrations, including Borland, the Attachmate Group and HP Software. He also previously served as Vice President and General Manager in Brazil for CA Technologies.
Restoring Nasdaq Governance Compliance
On 28 July 2026, Nuvini received a letter from the Nasdaq Listing Qualifications staff notifying the company that it was not in compliance with Nasdaq Listing Rule 5605, which requires a listed company's audit committee to be composed of at least three independent directors.
With Leone's election, Nuvini says it has now satisfied that requirement, strengthening its governance structure at a time when the company continues to pursue growth through acquisitions and post-merger integration across its portfolio of Latin American B2B software businesses.
