Criteo Appoints Frederik van der Kooi as Chairperson and Nominates Stefanie Jay to Board of Directors
Criteo S.A., the commerce media company, has named Frederik (“Rik”) van der Kooi as Chairperson of its Board of Directors. Van der Kooi, a member of Criteo’s Board since June 2023, succeeds Rachel Picard, who will remain on the Board after five years as Chairperson.
Additionally, Criteo has nominated Stefanie Jay to stand for election as an independent director at the company’s 2025 Annual General Meeting of Shareholders. Long-serving director Hubert de Pesquidoux, who chairs the Audit Committee, has announced he will not seek reelection.
Following Jay’s expected election, the Board will consist of eight members—seven of whom will be independent—and will have added four new directors in the past five years.
Van der Kooi brings extensive experience in digital advertising, having served over a decade as Corporate Vice President at Microsoft. There, he led global strategy, sales, marketing, and partnerships for Microsoft's $10 billion advertising business. His leadership spanned multiple channels, including search, display, native, and retail media. He also held the role of Chief Operating Officer for Microsoft’s Online Services Division, where he oversaw acquisitions such as PromoteIQ and Xandr, and served as Chairman of the Interactive Advertising Bureau (IAB) from 2019 to 2021.
Stefanie Jay brings nearly two decades of experience in omnichannel retail, eCommerce, and digital marketplaces. She most recently held the role of SVP and Chief Business and Strategy Officer at eBay. Prior to that, she led Walmart Media Group, transforming its ad tech stack and scaling revenues significantly. Jay has also driven major business development efforts at Walmart, including the acquisition of Jet.com and partnerships with JD.com, Uber, Lyft, and Google. Her earlier career includes a decade at Goldman Sachs in investment banking and strategy.
